These Terms of Service govern your use of Bedupath's website and services. By accessing or using our services, you agree to be bound by these terms.

Services We Provide

Bedupath provides professional software development and technical consulting services, including:

Development Services

- Full-stack web application development (Next.js, React, TypeScript, Node.js)

- AI-powered development workflows and automation

- API design and implementation

- Database design and optimization

- Cloud infrastructure setup and configuration

Consulting Services

- Technical architecture design and review

- Code audits and security assessments

- Technology stack evaluation and recommendations

- Performance optimization consulting

- DevOps and CI/CD pipeline consulting

Service Delivery

Services are delivered remotely via cloud collaboration tools. Specific deliverables, timelines, and acceptance criteria are defined in project-specific Statements of Work (SOW). We use AI-assisted development tools to accelerate delivery while maintaining human oversight and quality assurance.

What We Don't Provide

- On-premise infrastructure management

- 24/7 emergency support (unless specified in agreement)

- Services outside our technical expertise areas

Your Responsibilities and Acceptable Use

Client Responsibilities

When engaging our services, you agree to:

- Provide accurate information and timely responses to our requests

- Designate authorized representatives for approvals and decisions

- Provide necessary access to systems, accounts, and resources

- Review deliverables within agreed timeframes and make timely payments

Prohibited Activities

You may not use our services to:

- Create applications that violate laws or infringe intellectual property

- Build systems designed for malicious purposes or unauthorized access

- Misrepresent Bedupath's involvement or endorsement

Payment Terms and Pricing

Pricing Models

Projects are priced using one of the following models:

- Fixed Price: Defined deliverables for agreed total price (requires detailed SOW)

- Time & Materials: Hourly or daily rates for ongoing or evolving work

- Retainer: Monthly fee for ongoing maintenance, support, or consulting hours

Payment Schedule

Standard payment terms:

- Fixed Price Projects: 50% upfront, 25% at milestone, 25% on completion

- Time & Materials: Net 15 days from invoice date

- Retainers: Billed monthly in advance on the 1st of each month

Late Payments

Invoices unpaid after 30 days may incur a 5% late fee for each 30-day period overdue and suspension of services until payment is received.

Intellectual Property Rights

Client Ownership of Custom Work

Upon full payment, you receive full ownership of:

- Custom source code we develop specifically for your project

- Original designs, graphics, and assets created for your project

- Documentation and specifications prepared for your deliverables

This transfer is effective upon receipt of final payment, not before.

Bedupath Retained Rights

We retain ownership of:

- Pre-existing intellectual property, tools, and methodologies

- Reusable code libraries, frameworks, and components

- Our development processes and AI workflows

Third-Party Components

Your project may incorporate open-source libraries and frameworks (subject to their licenses), third-party APIs and services, and commercial software or tools. You are responsible for compliance with third-party license terms.

Warranties and Disclaimers

Our Warranties

We warrant that:

- Services will be performed with professional skill and care

- Custom code will substantially conform to specifications in the SOW

- We have the right to deliver services and grant IP rights described herein

Defect Remediation

For 30 days after project completion, we'll fix bugs or errors in deliverables at no charge if they prevent deliverables from meeting SOW specifications and are caused by our coding errors.

Disclaimers

EXCEPT AS EXPRESSLY STATED ABOVE, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim implied warranties of merchantability or fitness for particular purpose, guarantees of specific business outcomes, and uninterrupted or error-free operation.

Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Excluded Damages

WE SHALL NOT BE LIABLE FOR indirect, incidental, special, consequential, or punitive damages, lost profits or revenue, damages caused by third-party services, or security breaches not caused by our gross negligence.

Client Indemnification

You agree to indemnify and hold Bedupath harmless from claims arising from your use of delivered applications, content you provide, your violation of laws, or your breach of these Terms.

Termination and Suspension

Termination by Client

You may terminate a project with 14 days' written notice. Upon termination, you pay for all work completed to date plus non-refundable costs incurred. We deliver work-in-progress in current state (may be incomplete) with no refunds for upfront deposits or completed work.

Termination by Bedupath

We may terminate with 30 days' notice if you breach payment terms, violate acceptable use policies, or engage in unprofessional conduct. In case of termination for cause, no refunds are provided.

Effect of Termination

Upon termination, all payment obligations for work completed become immediately due, confidentiality and IP provisions survive termination, and access credentials are transferred or revoked as appropriate.

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. By using our services, you consent to the jurisdiction of Delaware courts.

Informal Resolution

Before initiating formal proceedings, notify us in writing of the dispute with specific details, participate in good-faith negotiations, and allow 30 days for attempted resolution. Most disputes can be resolved through professional dialogue. Email legal@bedupath.com to initiate dispute resolution.

Limitation Period

Claims must be filed within one year after the cause of action arises, or they are permanently barred.

General Provisions

Changes to These Terms

We may modify these Terms by posting updated Terms on our website with a new "Last Updated" date and notifying active clients via email at least 30 days before changes take effect. Your continued use after changes take effect constitutes acceptance.

Entire Agreement

These Terms, together with your project agreement or SOW, constitute the entire agreement between you and Bedupath regarding services. In case of conflict between these Terms and a signed project agreement, the project agreement controls for that specific project.

Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is impossible. The remaining provisions remain in full effect.

Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, pandemics, infrastructure outages). Timelines are extended by the duration of such events.
